Smartsheet is seeking an experienced Corporate Counsel to serve as our first dedicated legal hire in Europe. This is a unique opportunity to take ownership of the Continental Europe legal function, working with a high degree of autonomy to support our DACH sales team, EMEA sales operations, and broader cross-functional stakeholders across the region. This role will act as a trusted legal adviser to regional leadership, bringing first-class stakeholder management skills and sound commercial judgement to a fast-growing international business.
The role reports to the Director, Legal based in our London office. The position is based in Munich, Germany (hybrid working arrangement) with opportunities to travel to and work from our UK office when appropriate and approved.
- Review, draft, negotiate, and advise on a broad range of commercial and corporate agreements including SaaS services agreements, data processing agreements, employment contracts, marketing and sponsorship arrangements, and event-related agreements, with a primary focus on contracts governed by German law — applying deep legal knowledge and sustained analytical concentration to produce accurate, commercially sound outputs.
- Serve as the primary legal point of contact for European operations, working independently to resolve day-to-day legal matters whilst collaborating closely with the wider legal team across global offices — communicating clearly across jurisdictions and functions, and demonstrating resilience in a high-volume, fast-paced environment.
- Build and maintain the European legal framework, including localised contract templates, clause libraries, and internal playbooks tailored to German and broader European requirements — taking ownership of planning, prioritisation, and continuous improvement across multiple workstreams.
- Leverage company-provided AI tools and deliver practical legal training and guidance to European teams on key legal issues, regulatory developments, best practices, and company policies — supporting peer capability and contributing to a culture of informed, compliant decision-making.
- Advise on data protection and privacy matters across the region, with particular focus on the GDPR, the ePrivacy Directive, and engagement with EU and national regulatory authorities — handling sensitive regulatory information with appropriate rigour and confidentiality.
- Lead the localisation of standard-form agreements and drive the implementation and continuous improvement of policies, procedures, and processes for the European market, in close cooperation with customer-facing teams and business support functions — exercising independent judgement and managing competing demands with sound prioritisation.
- Support general European business operations and contribute to strategic cross-functional projects as required — operating with awareness of budget implications and the company's broader financial risk appetite, while working within an inclusive hybrid team environment in Munich with occasional travel to the UK office when appropriate and approved.
- Perform standard computer and keyboard use in a hybrid office and remote environment, undertaking standard sedentary work involving extended screen use with document-intensive legal review tasks.
- Qualification to practise law in Germany (Volljurist or equivalent), with a minimum of six years' post-qualification experience including at least three years in-house — demonstrating the depth of legal knowledge and educational foundation required for a senior European legal role.
- Substantial experience negotiating and drafting contracts under German law; experience with French-law contracts is highly desirable — reflecting strong legal judgement and technical expertise across multiple frameworks.
- Full professional fluency in both English and German, written and spoken — enabling effective communication, legal drafting, and stakeholder engagement across the DACH region and international teams.
- Proven ability to work autonomously, manage competing priorities, and exercise sound independent judgement in a fast-paced, high-growth environment — with demonstrated capacity for sustained mental effort and comfort operating with ambiguity and pressure.
- Strong commercial acumen with a demonstrable ability to balance legal risk against business objectives, consistent with the company's risk appetite and strategic priorities — including an understanding of the financial and commercial implications of legal decisions.
- Direct experience supporting sales and regional operations within a cloud software or SaaS organisation, with a strong understanding of the DACH technology market — including hands-on use of relevant legal, contract management, and productivity platforms and tools.
- Excellent interpersonal, communication, and stakeholder management skills, with the confidence to advise and influence senior business leaders across multiple jurisdictions — building trusted relationships and collaborating effectively with peers, cross-functional partners, and regional leadership.
Smartsheet provides a competitive base salary range for roles that may be hired in different geographic areas we are licensed to operate our business from. Actual compensation is determined by several factors including, but not limited to, level of professional, educational experience, skills, and specific candidate location. In addition, this role will be eligible for a market competitive incentive opportunity.
