SENIOR LEGAL COUNSEL (F/M)
LONG TERM CONTRACT
Wiesbaden (GERMANY)
As part of the the Legal team, as Senior Legal Counsel of the German market, you will provide high-value in-house legal counsel and serve as a key business partner to German management and operational teams, supporting strategic growth, corporate transactions, and day-to-day business activities.
Your main tasks will be to :
SUPPORT CORPORATE TRANSACTIONS:
Oversee and optimize the corporate governance of a diverse portfolio of domestic entities, including account approvals, managers renewals, intra-group agreements, powers of attorney, and all related legal formalities.
Lead and support capital transactions, corporate restructurings, and group reorganization initiatives.
Coordinate and provide end-to-end legal support for M&A transactions, from due diligence through completion.
Deliver legal expertise and transactional support for project financing activities, ensuring efficient execution and risk mitigation.
HANDLE CONTRACT NEGOTIATION AND DRAFTING :
Lead the analysis, drafting, and negotiation of complex agreements in German and English, including land leases, development partnerships, EPC, O&M, grid connection, PPA, and service agreements.
Prepare and coordinate all legal documentation required for tenders and competitive processes, from initial application through offer selection, including NDAs, MoUs, term sheets, and transaction protocols.
Develop, maintain, and continuously enhance the library of standard contract templates to ensure consistency, efficiency, and legal compliance.
PROVIDE LEGAL ADVICE AND RISK MANAGEMENT :
Manage and coordinate litigation matters, working closely with external counsel to protect the company’s interests and mitigate legal exposure.
Serve as a trusted legal partner to business teams and stakeholders, delivering practical, risk-based advice across a broad range of legal matters.
Develop, implement, and promote policies, guidelines, and best practices to ensure compliance with applicable regulations and strengthen the company’s risk management framework.
ORGANIZE THE LEGAL DEPARTMENT OF THE COUNTRY :
Oversee and report on the country’s legal activities, providing clear visibility on key matters, risks, and priorities. You'll act as the primary legal liaison with headquarters, ensuring alignment, effective communication, and the consistent application of group standards.
Plan, coordinate, and optimize legal workloads and resources to ensure efficient support for business operations.
Centralize and maintain legal documentation while managing local litigation, claims, and insurance matters.
Drive the development, implementation, and continuous improvement of legal processes and governance frameworks.
Expected skills :
You hold a master’s degree in German Corporate law or Renewable Energy Law and you have at least 5 years of experience as an in-house legal advisor in the renewable energy sector.
A first experience in team management would be appreciated.
Fluency in both German and English is required for the position.
You will report directly to the Head of Corporate and International Legal Affairs based in France.
You will be able to work from home 1 day per week.
